
At our AGM our Finance Trustee, Helen, explained that during the year we had undertaken, with specialist advice, some review work around our status as an educational body. We want to esure that the Guild has adequate focus on education from a funding perspective and that we are accounting for our income and expenses correctly regarding VAT.
We were advised to add a short additional clause to the Guild articles. This clause commits the Guild to reinvest any surpluses made from educational activities such as talks, workshops and courses in future educational activities. This will clarify more clearly our status as an educational body.
Changes to the articles, however small require members to meet and vote on the change. 56 members attended a Special General Meeting on 11 September 2025 and 59 members voted by proxy. We had one meeting attendee abstain (had or leave meeting before voting). All those who voted at the meeting or by proxy agreed to the change. The revised articles have been filed with Companies House, the Charities Commission for England & Wales and the Scottish Charity Regulator (OSCR).
